Short Description

This is an elective course within the Diploma in Professional Legal Practice designed to equip students with the professional skills necessary for practising law pertaining to core commercial contracts in Scotland.

Course Aims

The course aims are

1. To provide students with an understanding of key terms, core concepts and specific provisions in commercial contracts and how these contracts are enforced.

2. To enable students to analyse, review and critique commercial contracts

3. To develop an understanding of the commercial situations which impact on clients and are to commercial contracts prepared on their behalf.

4. To enable students to acquire the skills and knowledge required for negotiation and drafting of commercial contracts.

Intended Learning Outcomes of Course

By the end of this course students will be able to:

1. Review a complex commercial contract and identify the core clauses which are required.

2. Draft relevant documentation based on a set of instructions

3. Critique and analyse a variety of commercial contracts and be able to report on their terms to the client

4. Accurately report to clients regarding the terms of specific types of contracts and their interpretation.

5. Report to clients on issues relating to the enforcement of commercial contracts

6. Explain, in particular commercial contexts, the arrangements for clients that can be put in place to ensure that the contract properly reflects their aims and protects their interests.

Minimum Requirement for Award of Credits

Attendance at tutorials is compulsory. Credit will be refused if a student fails to attend a tutorial without good cause.

 

The requirements for the award of the Diploma in Legal Practice is 120 credits:

(a) candidates to achieve a grade D or better in all courses.

(b) candidates to achieve a grade D or better in each component part of each course.
